Al-Asem is seeking a Legal Department Manager in Baghdad to direct all legal operations concerning real estate development and investment. The role requires a master's degree in law and at least 10 years of legal experience, including 5 years in real estate or construction.

About the job

The Legal Department Manager is responsible for overseeing all legal matters related to real estate development and investments. This includes land acquisition, contracts, regulatory compliance, dispute resolution, and ensuring that all company activities comply with Iraqi laws and international best practices.

Responsibilities

  • Provide legal advice to the management on company’s current and potential projects.
  • Develop legal frameworks for new investments and partnerships
  • Conduct legal due diligence on land titles and ownership.
  • Verify land registration and zoning compliance.
  • Handle land purchase agreements and transfers.
  • Resolve land disputes and ownership issues.
  • Draft, review, and negotiate contracts, including:
  • Construction contracts
  • All types of contracts.
  • Joint venture agreements
  • Sales and lease agreements
  • Ensure contracts protect the company’s interests and minimize risks.
  • Ensure compliance with Iraqi laws and regulations:
  • Real estate laws
  • Investment regulations
  • Corporate and commercial laws
  • Manage licensing, permits, and approvals for projects.
  • Manage legal disputes with contractors, buyers, partners, or authorities.
  • Coordinate with external lawyers and represent the company when needed.
  • Handle arbitration, mediation, and court cases.
  • Ensure compliance with internal policies and governance standards.
  • Draft and maintain company policies and legal procedures.
  • Support board meetings with legal documentation.
  • Identify legal risks in projects and operations.
  • Develop mitigation strategies to avoid disputes and penalties.
  • Monitor legal changes affecting the real estate sector.
  • Liaise with government authorities, regulators, and legal institutions.
  • Manage relationships with external law firms and consultants.
  • Lead and supervise the legal department team.
  • Allocate tasks and ensure timely legal support to all departments.
  • Train staff on legal awareness and compliance.

Requirements

  • Master’s degree in law (mandatory)
  • 10+ years of legal experience
  • At least 5 years in real estate, construction sector.
  • Strong experience in Iraqi law and regulatory systems
  • Strong knowledge of:
  • Iraqi property and land laws
  • Investment regulations
  • Contract law and dispute resolution
  • Excellent drafting and negotiation skills
  • Ability to handle complex legal cases
  • Good communication skills and ability to work in a team environment.
